Terms of Service

Introduction

These Terms of Service ("Terms") govern access to and use of the SolArch OS cloud platform and related services (the "Service") operated by SolArch OS ("we", "us", "our"). By creating an account, accessing, or using the Service, you agree to these Terms on behalf of yourself and the organisation you represent ("Customer", "you").

If you do not agree, do not use the Service. These Terms apply to platform access only and do not replace separate commercial terms between a solar installer and its end customers (for example, proposal or installation contracts).

Definitions

In these Terms:

  • "Account" means a registered workspace authorised to use the Service.
  • "Authorised User" means an individual permitted by Customer to use the Account.
  • "Customer Data" means data submitted to the Service by or on behalf of Customer.
  • "Subscription" means the paid or trial plan selected for the Account.
  • "Documentation" means guides and help content we make available for the Service.

Account responsibilities

You must provide accurate registration information and keep credentials confidential. You are responsible for all activity under your Account and for ensuring Authorised Users comply with these Terms and our Acceptable Use Policy.

You must promptly notify us at support@solarchos.com of any suspected unauthorised access. We may suspend or restrict access to protect the Service, other customers, or security.

Subscription and billing

Fees, billing cycles, and included usage are described at checkout or in your order form. Unless stated otherwise, Subscriptions renew automatically until cancelled. You authorise us and our payment processor to charge applicable fees and taxes.

Price changes apply to renewal periods with reasonable prior notice. Failure to pay may result in suspension or termination of access. See our Refund and Cancellation Policy for trial and refund terms.

Trial usage

We may offer time-limited trials at no charge. Trials are provided "as is" without warranties. We may modify or end trials at any time. At trial end, continued use requires a paid Subscription unless otherwise agreed in writing.

Intellectual property

We retain all rights in the Service, software, branding, and Documentation. Subject to these Terms and payment of fees, we grant Customer a limited, non-exclusive, non-transferable right for Authorised Users to use the Service during the Subscription term for internal business purposes.

Customer retains ownership of Customer Data. Customer grants us a licence to host, process, and display Customer Data solely to provide and improve the Service, comply with law, and as described in our Privacy Policy and Data Processing Addendum.

Confidentiality

Each party may receive confidential information from the other. The receiving party will use reasonable care to protect it and use it only for purposes of the relationship. Exclusions apply for information that is public, independently developed, or rightfully received without restriction.

Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, data, or goodwill. Our aggregate liability arising from these Terms is limited to the fees paid by Customer in the twelve (12) months before the claim.

Nothing excludes liability that cannot be excluded under applicable law. Consumer law rights that cannot be waived continue to apply where relevant.

Termination

Either party may terminate for material breach not cured within thirty (30) days of written notice. We may suspend or terminate immediately for non-payment, security risk, or violation of the Acceptable Use Policy.

On termination, access ends and we will delete or return Customer Data per our retention practices and DPA, except where retention is required by law. Provisions that by nature should survive (including confidentiality, liability limits, and governing law) survive termination.

Governing law

These Terms are governed by the laws of New South Wales, Australia, without regard to conflict-of-law principles. Courts in that jurisdiction have exclusive jurisdiction, subject to mandatory consumer protections where applicable.
